Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services provided by 180 Squared LLC (“180 Squared”, “we”, “us”, or “our”) (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

2. The Services and license

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. We may modify, suspend, or discontinue any part of the Services at any time.

3. Subscriptions, billing, and refunds

  • Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe.
  • Subscriptions renew automatically until cancelled. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period.
  • Fees are non-refundable except where required by law or expressly stated. Prices may change with notice for future billing periods.

4. Not professional advice

180 Squared is a planning and organization platform. Content, prompts, AI-generated suggestions, and tools are provided for informational and educational purposes only and do not constitute financial, investment, tax, legal, accounting, or other professional advice. You are responsible for your own decisions. Any connection with an advisor, coach, or partner through the Services is between you and that person; we do not endorse, supervise, or guarantee their services.

5. Acceptable use

You agree not to:

  • Use the Services in violation of any law or the rights of others.
  • Upload malicious code, attempt to gain unauthorized access, or disrupt the Services.
  • Reverse engineer, scrape, or resell the Services except as permitted by law.
  • Misrepresent your identity or use the Services to harass, abuse, or harm others.

6. Your content

You retain ownership of the content you create or upload (“Your Content”). You grant us a worldwide, non-exclusive license to host, store, process, and display Your Content solely to operate and improve the Services. You are responsible for Your Content and represent that you have the rights necessary to provide it.

7. Intellectual property

The Services, including all software, design, text, and trademarks, are owned by 180 Squared or its licensors and are protected by intellectual property laws. Except for the rights expressly granted here, we reserve all rights.

8. Third-party services

The Services may integrate with or link to third-party products. We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, 180 Squared and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the amounts you paid to us in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless 180 Squared from claims, damages, and expenses arising out of your use of the Services, Your Content, or your violation of these Terms.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or to protect the Services. Upon termination, the provisions that by their nature should survive will survive.

13. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. The exclusive venue for disputes will be the state and federal courts located in Texas, unless otherwise required by applicable law.

14. Changes to these Terms

We may update these Terms from time to time. When changes are material, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance.
